Registration of a firm in India
What are the steps to follow?

While it  might seem that incorporation of a business in India is a hassle, if you follow the right steps, you should get through it fairly quickly, particularly if you have an advisor to help you navigate the system.

An office of registrar of firms is present in every state of India. The registration of firm can be effected at any time by sending by mail or delivering to the registrar of the area in which any place of business of the firm is situated or proposed to be situated, an application in the prescribed form and accompanied by the prescribed fee. 

The application must contain following information:
  • Name of the firm to be registered. 
  • The place or principal place of business of the firm. 
  • The names of any other places where the firm carries on the business. 
  • The date when each partner joined the firm. 
  • The name in full and permanent address of the partners. 
  • The duration of business of the firm.
  • The statement should be signed by all the partners or by their agents authorized on their behalf. 

Each person signing the statement shall also verify in the manner prescribed. 

The firm name shall not contain any of the following words: crown, emperor, empress, empire, imperial, king, queen and royal. It should also not contain any words expressing or implying the sanction, approval or patronage of government except when the state government signifies its consent to the use of such words as part of the firm name by order in writing. 

When the registrar of firms is satisfied with the application and checks that all the provisions are duly complied with, he shall record an entry of the statement in a register called the "register of firms" and shall file the statement.
